Client Protection & Safeguarding

How client assets, funds and transaction controls are protected across services.

Guildwell applies safeguarding and financial controls according to the legal and operational structure of each service.

Where a Guildwell entity holds, controls or is responsible for client assets, end-user funds or other protected balances, those assets are subject to controls designed to keep them identifiable, appropriately segregated and protected from unauthorised use.

Segregation and identification

Where applicable, client assets or protected balances are maintained separately from company funds through arrangements appropriate to the service being provided.

Client assets are not commingled with company funds where segregation applies.

The legal and beneficial ownership of relevant client assets is recorded and supported by appropriate control and reconciliation processes.

Transaction controls

Movement of funds or assets is subject to documented authorisation controls.

The precise control structure depends on the service, transaction type, responsible entity and level of risk.

Transaction and settlement instructions are processed only after the relevant operational, compliance and authorisation conditions have been satisfied.

Reconciliation and oversight

Balances, transactions and settlement activity are subject to documented control processes designed to identify discrepancies, exceptions and unauthorised activity.

Material exceptions are investigated and escalated through the relevant control and governance framework.

Each regulated Guildwell entity remains responsible for the safeguarding and control obligations arising from its own activities, even where shared technology, Group personnel or external providers support the service.

Financial institutions and custodians

Some Guildwell services rely on banks, payment institutions, brokers, custodians or other regulated financial institutions.

Where assets or funds are held by an external regulated provider, that provider performs its own contractual and regulatory role.

Guildwell applies due diligence and oversight appropriate to the nature and importance of the relationship.

The use of an external provider does not remove the responsibility of the Guildwell entity for the controls and obligations that remain applicable to its own service.

Securities transactions

Sparling Financial's initial Cayman securities operating model is not intended to involve Sparling taking custody of client securities or possessing or controlling client settlement money.

Where securities transactions are arranged through Sparling Financial, custody and settlement are expected to occur through approved transaction parties within the applicable operating model.

Any future service under which Sparling Financial would hold client money or provide securities custody would require separate assessment, approval and regulatory consideration before being introduced.

Governance and assurance

Safeguarding and financial controls are subject to management oversight, Board governance and independent review where appropriate.

Material control deficiencies, incidents or safeguarding concerns are documented, escalated and tracked through the relevant risk and remediation framework.
